Terms of Service

1. Accounts

You must provide accurate information when creating an account. You are responsible for keeping your password secure and for all activity under your account. You must be at least 18 years old to use Coachbase.

There are two account types: Coaches, who offer and manage coaching services, and Clients, who book and attend sessions. You are responsible for accurately representing which type of account you are creating.

2. Coaches

If you use Coachbase as a coach, you agree to:

• Provide services as described in your session listings
• Honor booked appointments or provide adequate notice of cancellations
• Set accurate pricing, availability, and session descriptions
• Comply with all applicable laws and professional standards in your jurisdiction
• Not misrepresent your qualifications or credentials

Coaches are independent contractors, not employees of Rumico LLC. Coachbase is not responsible for the quality, legality, or outcomes of coaching services provided through the platform.

3. Payments

Payments are processed by Stripe. By accepting payments as a coach, you agree to Stripe's Connected Account Agreement. Coachbase charges a 5% platform fee on each transaction, deducted automatically at checkout.

Clients authorize charges at the time of booking. Refund eligibility is determined by the coach's cancellation policy. Coachbase does not guarantee refunds; disputes between coaches and clients regarding payments must be resolved between the parties directly.

We reserve the right to modify the platform fee with reasonable advance notice.

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Harass, threaten, or harm other users
• Post false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of the platform
• Use automated tools to scrape or extract data from the platform
• Circumvent or attempt to circumvent the platform fee
• Impersonate another person or entity

5. Content

You retain ownership of content you upload or create on Coachbase, including profile information, session notes, and resources. By uploading content, you grant Rumico LLC a limited license to store, display, and transmit that content as necessary to provide the service.

You are solely responsible for the content you post. We do not monitor content but reserve the right to remove any content that violates these Terms.

6. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Termination

You may close your account at any time by contacting us at hello@trycoachbase.com. We may suspend or terminate your account if you violate these Terms, with or without notice.

Upon termination, your right to use the platform ceases. Provisions that by their nature should survive termination (including payment obligations, content licenses, and liability limitations) will do so.

8. Disclaimers

Coachbase is provided “as is” without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

Coachbase is a technology platform only. We do not endorse, verify, or guarantee any coach, their qualifications, or the outcomes of any coaching engagement.

9. Limitation of Liability

To the maximum extent permitted by law, Rumico LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the platform. Our total liability to you for any claim shall not exceed the greater of $100 or the amount you paid to us in the 12 months preceding the claim.

10. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the platform after changes take effect constitutes your acceptance of the new Terms.

11. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in Connecticut, except where prohibited by law.
